We operate in close contact with shareholders and corporate bodies, but also with the operating structures that manage contractual relations. In addition to complete assistance in the field of corporate law, the firm also assists its clients in the definition of all types of commercial contract, from the simplest to the most complex, in the drafting and revision of general terms and conditions of purchase and sale, in the negotiation and drawing up of purchase and sale agreements. We also assist clients in the negotiation of contracts that cover several jurisdictions, with particular reference to investment, supply, distribution and trading company contracts.
Merger & Acquisition
We have gained considerable experience in M&A operations and in the structuring and negotiation of corporate transactions, with specific reference to small and medium sized businesses. We assist clients in the realisation of their business initiatives, in the purchase and sale of shares or equity capital, in the purchase and sale of companies or business branches, and in joint venture operations. We offer a personal approach. When clients contact us, our attention is firstly focused on their objectives and then on identifying and defining the strategies to adopt. We remain at the client’s side throughout the entire operation.
We assist our clients also in risk capital investment operations by private equity and venture capital funds, from start to finish. We act on behalf of investors, purchasers and sellers.
Compliance 231
The firm has gained considerable experience in all aspects related to the administrative liability of legal entities, introduced into the Italian legal system by Legislative Decree no. 231 of 8 June 2001.
Over the years we have tried to help our clients to understand the advantages of a valid Organisation, Management and Control Model, better know as the 231 Model. Regardless of its operational advantages, as it allows the efficiency of all company processes to be monitored, if the 231 Model is effectively implemented, it can prevent the administrative penalties laid down from being imposed against entities whenever a predicate offence is committed within the company.
We have gained considerable experience in the drafting of these Models, in their adaptation following regulatory changes or changes to the corporate organisation, but also as members of the Supervisory Bodies and in the defence of Companies on the subject of administrative liability.
Privacy e data protection
Assistance in the implementation of legal requirements on the subject of personal data protection and in the preparation and management of the documentation required for corporate compliance and all requirements of the laws in force, such as, by way of example, the instrument of appointment of data controllers and data processors, defining and drafting the privacy policy and, more generally, notifications, authorisations, statements, and requests for consent to process personal data.
IP Rights
We provide assistance and consultancy in the protection and economic exploitation of industrial and intellectual property on the subject of trademarks, designs, patents, domain names and copyrights. We make us of the collaboration of industrial property consultancy firms for all requirements related to the filing and registration of trademarks and patents. We have gained considerable experience in the negotiation and drafting of license agreements, confidentiality agreements and transfer of rights contracts.
Labour law
The firm provides companies with assistance and experience for all aspects relating to labour law and the management of human resources, from consultancy to litigation. We have gained considerable experience on the subject of non-competition obligations of workers and in the management of various problems linked to extraordinary transactions, to restructuring of industrial groups and to company crisis situations. Our areas of expertise also comprise: individual dismissals or collective redundancies, contracts, privacy, training and updating and litigation.
Credit Management
With a network of dynamic correspondents, we are active in the management of debt recovery in Italy and abroad, both in and out of court and during execution.
In the commercial area, we carry out a preliminary evaluation of the debt to ascertain the actual possibilities of recovery, also in order to enable the client to assess, based on our written report, whether it is more advisable to write off the debt and set off the loss against income tax.
The client is kept constantly up to date on the status of the recovery procedure and can access all data and case documents.
